Terms of Service

1. Agreeing to These Terms

By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, please do not use the Service.

2. What MediSum Provides

MediSum helps medical professionals and other qualified users keep up with medical literature. The Service may include:

• AI-assisted summaries and organization of medical research;
• personalized research selections based on professional interests and preferences;
• email digests and other literature updates; and
• tools for saving, sharing, and managing research interests.

3. Who May Use the Service

You may use the Service only if you can legally enter into an agreement with MediSum and are not prohibited from using it under applicable law. MediSum is designed for medical professionals, researchers, students, and others with a legitimate professional interest in medical literature. It is not designed for children.

You agree to provide accurate account information, keep your sign-in credentials secure, and correct material changes to your professional profile.

5. Patient Information

The Service is not designed to collect, store, or process patient information or protected health information. Do not enter patient-identifiable information into MediSum, including through account fields, support requests, or other free-text features.

6. Personalization, Privacy, and Future Programs

To personalize and improve the Service, MediSum may use the preferences you choose and how you interact with MediSum. Our Privacy Policy explains the information we collect, the service and measurement providers that may process it, and the choices available to you.

MediSum may evaluate potential group-level insights about patterns across professional groups. Before introducing a commercial group-level insights product, MediSum will apply appropriate disclosure controls and update its notices and user choices as required.

The Service may in the future include clearly labeled sponsor- or partner-supported content. Sponsorship does not constitute MediSum's endorsement of an organization, product, service, or claim and does not change the medical limitations in these Terms.

7. Using MediSum Responsibly

You agree not to:

• use the Service unlawfully or violate another person's rights;
• submit patient-identifiable information or use MediSum as a patient record;
• share account credentials or attempt to access another user's account;
• interfere with the security or operation of the Service;
• use bots, scrapers, or other automated means to access the Service without written permission;
• reverse engineer or attempt to extract source code, models, datasets, or nonpublic methodology;
• remove source attribution or present a MediSum summary as an original research publication;
• resell or systematically redistribute MediSum content without permission; or
• use the Service as a substitute for source review or appropriate professional judgment when making decisions about a patient or another person.

8. Content and Intellectual Property

MediSum and its licensors own the Service, including its software, design, organization, original summaries, selection methods, and related intellectual property. Source publications, abstracts, trademarks, and third-party materials remain the property of their respective owners.

MediSum grants you a limited, personal, non-exclusive, non-transferable right to use the Service for professional, educational, or research purposes in accordance with these Terms.

9. Third-Party Sources and Links

MediSum may link to PubMed, publishers, and other third-party services. We do not control those services and are not responsible for their availability, content, privacy practices, or terms. A link does not imply endorsement.

10. Availability and Account Termination

We work to provide a reliable Service but do not guarantee uninterrupted availability. Features may be added, modified, suspended, or discontinued.

You may stop using MediSum or request account deletion at any time. We may suspend or terminate access when reasonably necessary to protect users or the Service, comply with law, address misuse, or discontinue the Service.

11. Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available." MediSum does not promise that the Service will always be available, error-free, complete, or suitable for a particular professional or clinical purpose. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

12. Limitation of Liability

To the extent permitted by law, MediSum will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or business opportunity arising from the Service.

MediSum's total liability arising from the Service will not exceed the greater of US$100 or the amount you paid MediSum during the preceding 12 months.

These limits do not apply to liability arising from MediSum's fraud or willful misconduct, or where liability cannot legally be limited.

13. Delaware Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. This does not deprive a user of mandatory consumer or other protections available under the law of the user's country, state, or province.

14. General Legal Terms

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect, and the affected provision will be enforced to the greatest extent permitted by law. A failure to enforce a provision is not a waiver.

You may not transfer these Terms or your account without MediSum's permission. MediSum may transfer these Terms as part of a merger, reorganization, financing, sale of assets, or similar transaction. These Terms and any additional terms that we expressly present and you accept are the entire agreement between you and MediSum concerning the Service. The Privacy Policy describes MediSum's data practices and is acknowledged separately.

15. Changes to These Terms

We may update these Terms as the Service or applicable law changes. We will post the updated Terms and their effective date and provide additional notice when reasonably appropriate or legally required.
